Terms of Service

1. The Service

Trade Tool is a software-as-a-service (SaaS) platform for residential remodeling contractors. It provides tools to manage jobs, customers, schedules, estimates, invoices, expenses, photos, and related business operations. Access is provided on a monthly subscription basis at $150/month.

By creating an account and using Trade Tool, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use Trade Tool. By signing up, you confirm that you meet these requirements and that the information you provide is accurate.

3. Account Responsibility

You are responsible for maintaining the security of your account credentials. Do not share your password. You are responsible for all activity that occurs under your account.

You are also responsible for the data you enter into Trade Tool, including your customers' personal information. You represent that you have obtained any necessary consent from your customers to store their contact information in a third-party platform on their behalf.

If you suspect unauthorized access to your account, contact us immediately at support@tradetool.app.

4. Subscription and Payment

• Trade Tool offers a 14-day free trial. After the trial period, your subscription is billed monthly at $150/month.
• Billing renews automatically each month unless you cancel before your renewal date.
• No refunds are issued for the current billing period. If you cancel, your access continues through the end of the period you have already paid for.
• If a payment fails, we will notify you by email and display a notice in the app. Access may be restricted if payment remains outstanding after a reasonable grace period.
• We reserve the right to change pricing with at least 30 days' advance notice by email.

5. Your Data

You retain ownership of all data you enter into Trade Tool, including job details, customer information, estimates, invoices, photos, and files. We do not claim any intellectual property rights over your content.

By uploading content to Trade Tool, you grant us a limited, non-exclusive license to host, store, process, display, and transmit that content solely as needed to operate and provide the service to you.

Photo and file storage: Content uploaded to Trade Tool may be shared using direct links in features like the customer portal, gallery links, and photo reports. See our Privacy Policy Section 4 for additional details.

6. Acceptable Use

You agree not to:

• Use Trade Tool for any unlawful purpose or in violation of any applicable laws.
• Attempt to scrape, copy, or extract data from Trade Tool by automated means.
• Resell, sublicense, or otherwise commercialize access to Trade Tool without our written consent.
• Attempt to gain unauthorized access to Trade Tool's systems, other user accounts, or our infrastructure.
• Upload content that is illegal, harmful, or violates the rights of others.
• Upload sensitive personal information (SSNs, government IDs, medical records) to the photo or file storage system.
• Use the customer portal or email features to send spam or unsolicited communications.
• Interfere with or disrupt the operation of Trade Tool or its hosting infrastructure.

Violations of this section may result in immediate account termination without refund.

7. Indemnification

You agree to indemnify, defend, and hold harmless Trade Tool and its operators, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of Trade Tool.
• The data, content, or information you upload, store, or transmit through the service.
• Your violation of these Terms or any applicable law.
• Any dispute between you and your customers, subcontractors, or other third parties.
• Any claim that content you uploaded to Trade Tool infringes the intellectual property or privacy rights of a third party.

8. Termination

You can cancel your subscription at any time from your account settings. Cancellation stops future billing and your access continues through the end of the current billing period.

We reserve the right to suspend or terminate your account without notice if you violate these Terms, engage in fraudulent activity, or use the service in a way that harms other users or Trade Tool.

Upon termination, your data will be retained for 90 days and then permanently deleted, per our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Trade Tool and its operators shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, lost business opportunities, or business interruption, arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of Trade Tool shall not exceed the amount you paid to us in the 12 months preceding the claim.

Trade Tool is a business management tool. You remain responsible for reviewing project information, estimates, invoices, schedules, communications, and AI-assisted suggestions before relying on them in your business.

10. No Warranty

Trade Tool is provided “as is” and “as available” without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We do not warrant that AI-assisted output, calculations, scheduling suggestions, or reporting will always be accurate, complete, or suitable for your specific business needs.

11. Intellectual Property

Trade Tool, including its software, design, logos, and documentation, is the intellectual property of Trade Tool and its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or branding. You may not copy, modify, distribute, or reverse-engineer any part of the Trade Tool platform.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, internet outages, power failures, government actions, or failures of third-party service providers.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Contra Costa County, California.

Before filing a legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@tradetool.app. We will work in good faith to resolve the issue within 30 days.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top. For material changes, we will notify you by email at least 14 days in advance. Continued use of Trade Tool after the effective date of changes constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Trade Tool regarding your use of the service.
